Terms of Sale

1. Purpose

These General Terms of Sale define the conditions under which Synerova, a French SAS with a share capital of €1,000, registered with the Paris Trade and Companies Register under number 132 207 515, whose registered office is at 59 rue de Ponthieu, Office 326, 75008 Paris, France, provides its subscription services to the CapDirect platform, a trademark of Synerova.

2. Services offered

CapDirect offers three plans:

• Free (€0/month) : 1 property, limited digital guest booklet, shareable mini-site
• Zen (€9.90/month, 20-property option at €19.90/month or €199/year) : up to 5 properties (up to 20 with the option), Airbnb/Booking sync, calendar & booking management, seasonal pricing, AI guest chat, AI market analysis, advanced stats, custom domain, priority support
• Business (custom) : unlimited properties, multi-user, API, white-label branding, dedicated account manager

3. Price and payment

Prices are indicated in euros including tax. Payment is made monthly by credit card via a secure payment provider (Stripe). Billing starts upon subscription. The price paid by the customer at the time of subscription is guaranteed and will not change for the duration of their subscription.

4. Duration and termination

Subscriptions are without commitment. The user can cancel at any time from their customer area. Cancellation takes effect at the end of the current period, without pro-rata refund.

5. Right of withdrawal

In accordance with Article L221-28 of the Consumer Code, the right of withdrawal does not apply to services fully performed before the end of the withdrawal period with the consumer's agreement. The right of withdrawal does not apply to professional customers.

6. Guarantees

CapDirect undertakes to provide a service available 99.9% of the time (excluding scheduled maintenance). In case of prolonged unavailability (>24h), a proportional credit will be granted.

7. Role of the platform

CapDirect is a technical tool allowing owners to create their direct booking site. The platform acts as a host within the meaning of LCEN and is not party to transactions between owners and travelers.

CapDirect does not verify the identity of owners, the actual ownership of properties, nor the compliance of accommodations with current standards. The user is solely responsible for compliance with applicable regulations (town hall declaration, tourist tax, insurance, etc.).

Properties featured on the platform (destination pages, mini-sites, recommendations) are shown for informational purposes only and do not constitute any guarantee of availability or contractual commitment by CapDirect. Once submitted through the site, the reservation is concluded directly and exclusively between the traveler and the owner, without any involvement or liability of CapDirect.

8. Limitation of liability

CapDirect's total liability is, in all circumstances, limited to the amount of the subscription actually paid by the user during the last 12 months.

CapDirect cannot be held responsible for:

• Content, listings or information published by users
• Fake listings, scams or fraudulent practices committed by users
• Reservations made via the platform, their confirmation, execution, modification or cancellation by the owner or the traveler
• Disputes, claims or damages between owners and travelers
• Financial losses, indirect damages, loss of revenue or moral prejudice
• Temporary service unavailability (maintenance, force majeure)

9. User obligations

The user guarantees:

• To be the legitimate owner or authorized manager of the published properties
• That the published information is accurate, truthful and up to date
• That they comply with current legislation (urban planning, taxation, security)

10. Personal data

Data is hosted in Europe (Supabase, AWS infrastructure). It is never sold to third parties. See our privacy policy.

11. Applicable law

These Terms of Sale are governed by French law. Any dispute will be brought before the competent courts of Paris.

12. Changes to plans

Synerova may change the features, prices or terms of its plans. Any substantial change is announced by email with reasonable notice before it takes effect. The price paid at subscription remains guaranteed for the whole duration of the current subscription.
